These Terms & Conditions ("Terms") govern your use of the Novaluxe website at novaluxe.io and any services provided by Novaluxe Technologies ("Novaluxe", "we", "us"). By accessing our website or engaging our services, you agree to these Terms.
1. Services
Novaluxe provides IT services including software development, cloud infrastructure, AI/ML, cybersecurity, data analytics, and DevOps. Specific service terms are outlined in individual service agreements (Statements of Work) agreed between Novaluxe and each client.
2. Intellectual Property
All website content, branding, and materials are the property of Novaluxe. Work product created for clients under engagement agreements shall be governed by the IP provisions in the applicable SOW. Unless otherwise agreed, clients receive a license to use deliverables upon full payment.
3. Payment Terms
Invoices are due within 30 days of issuance unless otherwise agreed in writing. Late payments incur interest at 1.5% per month. Novaluxe reserves the right to suspend services for accounts more than 60 days overdue.
4. Confidentiality
Both parties agree to keep confidential any non-public information exchanged during the engagement. This obligation survives termination of services for 3 years.
5. Limitation of Liability
To the maximum extent permitted by law, Novaluxe's total liability for any claim arising from our services is limited to the fees paid by you in the 3 months prior to the claim. We are not liable for indirect, consequential, or incidental damages.
6. Warranty Disclaimer
Our website is provided "as is" without warranties of any kind. We do not guarantee that the website will be error-free or uninterrupted. Software development services carry a 90-day defect warranty unless otherwise specified in the SOW.
7. Acceptable Use
You may not use our website or services for illegal purposes, to transmit harmful content, or to violate the rights of third parties. We reserve the right to terminate access for violations of these Terms.
8. Governing Law
These Terms are governed by the laws of India (for Indian clients) or the laws of England and Wales (for UK/EU clients). US clients are governed by the laws of the State of Texas.
9. Changes to These Terms
We may update these Terms at any time. Changes are effective upon posting to this page. Continued use of our services constitutes acceptance of the updated Terms.
